Woodley Gardens Civic Association
Article I Name The name of this organization shall be The Woodley Gardens Civic Association, an incorporated association.
Article II Purpose The purpose of this association shall be to maintain Woodley Gardens as a quality residential neighborhood and to protect and promote the general welfare of the Woodley Gardens community, including but not limited to the following categories: 1. Promote public security and safety. 2. Maintain aesthetic values. 3. Establish and maintain a presence before governmental and administrative bodies, or businesses, whose courses of action would be of interest to and affect the members of this Association. 4. Support community activities.
Article III Membership There shall be one membership per residence (member), one vote per residence and one document delivery per residence. Such residences are to be located within the geographical boundaries of I-270 on the west; Nelson Street, including the houses on Nelson Street, on the south; the boundary of dedicated park land owned by the city of Rockville on the east; and Gude Drive on the north.
Article IV Officers, Elections, and Executive Committee Section l. The officers of the Association shall be: President, Vice President, Secretary, and Treasurer, whose duties shall be as specified in the Bylaws, and shall be elected from the Membership of the Association. Section 2. Officers shall be elected at a Biennial Meeting in the first quarter of even-numbered years, shall take office at the end of the meeting, and shall hold office for two years or until their successors take office. Section 3. The Executive Committee shall consist of the officers. Section 4. A vacancy in the office of the President shall be filled by the Vice President. All other vacancies in officers shall be filled through appointment by the Executive Committee.
Article V Duties of Officers Section 1. The President of the Association shall preside at all meetings. The President shall be the ex-officio member of all committees, and shall be empowered to call upon any qualified individuals to aid or advise the Association. The President shall approve all disbursements necessary for the conducting of the normal functions of the Association and other prudent expenditures not to exceed $500.00. Expenditures over $500.00 shall be approved by the Executive Committee. The President shall arrange for an audit of the Association accounts at least once per year. Section 2. The Vice President shall at all times stand ready to assist the President in the discharge of the President’s official duties. In the absence of the President, the Vice President shall preside at any meetings and shall perform the duties of the President. In the absence of the Treasurer, the Vice President is authorized to perform the duties of the Treasurer. Section 3. The Secretary shall keep a record of the proceeding of the Association; preserve and file all written reports; keep a roll of the officers, committees and Association members; and at the direction of the President shall carry on the general correspondence of the Association. The Secretary shall also prepare and arrange for the distribution of the notices of the meetings. Section 4. The Treasurer shall collect all fees and shall receive and deposit all receipts in a local bank to the account of the Association; shall keep records of all receipts and disbursements; and shall at the expiration of the Treasurer’s term of office turn over to the Treasurer’s successor a verified account of receipts, disbursements, and the bank account properly audited. A Treasurer's Report shall be presented at every regular meeting.
Article VI Executive Committee Section 1. The Executive Committee shall meet no less than two times per year at the direction of the President and shall function for the Association, subject to such limitations prescribed by the Bylaws. Section 2. A quorum of the Executive Committee shall consist of a majority of its members. Section 3. Any member or members of the Association may be present for any item of discussion or may present any item of discussion to the Executive Committee.
Article VII Ad Hoc Committees Section 1. Ad Hoc committees in such areas as membership, newsletter, and social events shall be formed as needed, the chairman of which shall be appointed by the President:
Article VIII Meetings and Quorum Section 1. The frequency, time and place of Association meetings shall be as determined by the Executive Committee; provided, however, there shall be at least two regular meetings in any calendar year. Section 2. All members shall be notified of an Association regular meeting at least ten days prior to the meeting. Section 3. A quorum shall consist of a minimum of ten members present; and no voting shall occur at a meeting unless a quorum is present.
Article IX Bylaws Bylaws may be adopted by a majority vote of all members present at any regular meeting, provided written notice of the purpose of the meeting was given at least 10 days prior to the meeting, and providing the number of members present constitutes a quorum.
Article X Amendments Bylaws may be amended by a majority vote of all members present and voting at any regular meeting, provided written notice of the purpose of the meeting was given at least 10 days prior to the meeting, and providing the number of members present constitutes a quorum.
Article XI Dues Dues shall be $5.00 per member (unit or residence) paid annually.
Article XII Regular and Special Meetings Section 1. At least two regular meetings shall be held each year. In even-numbered years, one of these shall be the Biennial Meeting, at which officers shall be elected. Section 2. Special meetings may be called at any time by the Executive Committee and shall be called by the President upon the request of ten (10) members of the Association.
Article XIII Nominations A Nominating Committee of three members of the Association shall be appointed by the Executive Committee prior to the Biennial Meeting at which officers are elected and shall place in nomination at least one candidate for each office. Such nominations shall be circulated to the membership with the Call to the Biennial Meeting and shall not preclude nominations made from the floor. It shall be the duty of the Nominating Committee to determine in advance whether the persons nominated by the Committee will serve if elected.
Article XIV Voting Section 1. One member of each residence or unit present, as defined in Article III of the Bylaws, shall be entitled to one vote. Section 2. Voting shall be by voice or appropriate sign unless, on motion, a majority of the members request vote by secret ballot; provided, however, that election of officers shall always be by secret ballot where there are two or more candidates for an office.
Article XV Parliamentary Authority The rules of “Robert’s Rules of Order, Revised” shall govern the Association provided they are not inconsistent with the Association’s Bylaws. |
